Terms of trade
This agreement covers the business relationship between easyrate ApS, CVR: DK44471760, Niels Jernes Vej 10 st, 9220 Aalborg Øst, Denmark and the customer ("Customer" or "you"). easyrate ApS is based in Denmark, and these terms and conditions are subject to Danish law.
The website easyrate.dk, Application Programming Interface ("API") and services provided by easyrate ApS as described on the easyrate.dk website, will be collectively referred to as the "Service".
By registering or using the Service, you agree to be bound by the terms and conditions set forth on this page or in this document (the "Terms of Business"). You also acknowledge that you are acting as a business as the Service is not offered to consumers.
Violation of any of the terms below will result in termination of your account. Although easyrate ApS prohibits such conduct and content on the Service, you understand and agree that easyrate ApS cannot be held responsible for the content posted on the Service. You agree to use the Service at your own risk.
A. Account Terms easyrate ApS offers services exclusively to businesses. The following information is required to create an account: Company name, address, country, CVR/VAT number, valid email address and customer phone number. Customers will be notified of changes via email. It is the sole responsibility of the customer to maintain proper security around system access. easyrate ApS assumes no liability for any damages that occur due to insecure computing. The customer is solely responsible for all activity and interaction with the Service made with the customer's account.
It is the sole responsibility of the Customer to ensure that the Service complies with local laws. easyrate ApS assumes no liability for any violations of such laws. This includes, but is not limited to, copyright infringement, data protection, etc. B. Use of the Service Subject to these Terms of Use, easyrate ApS hereby grants the Customer a non-exclusive and limited license to access and use the Service provided to the Customer by easyrate ApS. You may not use the Service for any purpose other than that for which the Service is intended without the express written permission of easyrate ApS. That said, we love new ideas. If you have any, please let us know. The Customer may not cache, store or otherwise reuse results obtained from the Service. You may only use the Service for legitimate business purposes and as the Service is intended to be used. You may not modify, adapt or hack the Service or alter any other website so that it falsely suggests that it is associated with the Service, easyrate ApS or any other easyrate ApS service. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service or access to the Service without the express written permission of easyrate ApS. We may, but have no obligation to, remove content and accounts that contain content that we, in our sole discretion, find to be unlawful, offensive, threatening, libelous, defamatory, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property rights or these Terms of Service. Verbal, physical, written or other abuse (including threats of abuse or retaliation) of any easyrate ApS customer, employee, member or officer will result in immediate account termination. You understand that the technical processing and transmission of the Service, including your content, may be transmitted unencrypted and involve (a) transmissions over various networks; and (b) modifications to adapt and adapt to the technical requirements of connected networks or devices. Excessively frequent requests for the Service may result in a temporary or permanent ban from the Service. easyrate ApS is at its sole discretion to determine abuse or excessive use. C. Distribution, Payment, Pricing and Usage Metering The Service is billed on a monthly basis unless otherwise agreed. The price and usage capacity are based on the customer's selected pricing plan as described here: https://easyrate.dk/products/easyrate-stander
Payment always covers the entire payment period. Failure to pay gives easyrate ApS the right to terminate the Service at any time. easyrate ApS may choose to send reminders in accordance with Danish law. easyrate ApS reserves the right to change the invoiced price with a notice period of the current month. D. Termination of the Service The customer may stop using the Service at any time by simply emailing us. It is always the customer's responsibility to properly terminate their account with easyrate ApS. Should the customer choose to stop using the Service, no refund will be given. Failure to comply with the Terms and Conditions may result in a permanent ban from the Service. The ban will be implemented when the customer has been notified via email. easyrate ApS reserves the right to terminate the service to a customer with 30 days' notice via email. After termination of use of the system, access to the Service will not be granted, nor will it be possible to access data. Upon termination, easyrate ApS is entitled (but not obliged) to permanently delete the Customer's data after 14 days. The Customer may at any time ask easyrate ApS to delete the Customer's data. E. Limitation of warranty and liability Your use of the Service is at your sole risk. The Service is provided on an "as is" and "as available" basis. easyrate ApS does not warrant that (i) the Service will meet your specific requirements, (ii) the Service will be uninterrupted, timely, secure or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, (iv) the quality of any products, services, information or other materials purchased or obtained by you through the Service will meet your expectations, and (v) any errors in the Service will be corrected. easyrate ApS assumes no liability for (i) any loss of data that may arise from the use of the Service; (ii) any loss of revenue, use or other intangible losses resulting from the use of the Service or third-party providers in connection with easyrate ApS; and (iii) forces beyond easyrate ApS's direct control. You expressly understand and agree that easyrate ApS shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if easyrate ApS has been advised of the possibility of such damages), arising out of: (i) the use of or inability to use the Service; (ii) the cost of obtaining substitute goods and services resulting from goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of third parties on the Service; (v) or any other matter relating to the Service. The above limitation of liability shall not apply where easyrate ApS has acted with gross negligence or willful misconduct. However, in any event, easyrate ApS's total aggregate liability to Customer shall be limited to the amount Customer has paid to easyrate ApS in the past 12 months. F. General Terms Technical support is only offered to paying account holders and is only available via email. Support is only available in English and Danish. You understand that easyrate ApS uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage and related technology required to run the Service. easyrate ApS is hereby granted a non-exclusive royalty-free license to use and reproduce Customer's trademarks and quote on easyrate ApS's website and marketing materials for the sole purpose of promoting the Service. Customer may revoke this right at any time by contacting easyrate ApS. The failure of easyrate ApS to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitute the entire agreement between you and easyrate ApS and govern your use of the Service, and supersede any prior agreements between you and easyrate ApS (including, but not limited to, any prior versions of the Terms of Service). You agree that these Terms of Service and your use of the Service are governed by Danish law. The proper forum for any disputes arising out of or in connection with these Terms of Service is the City Court in Copenhagen, Denmark. easyrate ApS has the right to update and change the Terms of Service from time to time. This includes the right to make changes, improvements and updates to the Service, as well as remove features. New features that enhance or improve the current Service, including the release of new tools and resources, are subject to the Terms of Service. Changes to these Terms of Service will be notified to the Customer, unless they are minor changes to features or improvements to the Service. Continued use of and payment for the Service following such changes constitutes your acceptance of such update or change.
In relation to binding, the following will apply:
Monthly subscription: Current month
Annual subscription: current month + 12 months - when you enter the 13th month, a new binding period of 12 months is automatically activated.
easyrate ApS does not take responsibility for server errors and downtime.
easyrate ApS does not take responsibility for product breakage unless the product is defective upon receipt. The customer must be able to document defects upon receipt.
easyrate ApS can afford to increase prices in line with inflation.
easyrate ApS allows itself to send newsletters to the entered email, as well as content to optimize your experience with easyrate.
As a customer, you have a 14-day right of return on physical products upon receipt.
easyrate SaaS License: No automatic right of return or claim for refund after purchase, unless there is an error or separate agreement.
There is no right of return on customized and customized solutions, this includes design changes on physical goods and software.
easyrate has permission to use the company's (customer's) logo when making payments and generally using easyrate's products.
Conditions for purchasing a sample package
By purchasing the easyrate trial package, the customer accepts a 30-day trial period with full access to easyrate Premium. After the trial period expires, the subscription automatically switches to an easyrate Premium monthly subscription for DKK 149/month excluding VAT, unless the customer has previously actively opted out.
The customer can log in at any time before the trial period expires via easyrate.app and contact easyrate to change or cancel your subscription.
After the trial period, the customer can choose one of the following:

Continue on Premium monthly subscription (149 DKK/month excl. VAT)

Switch to free subscription - here a one-time payment of DKK 399 excluding VAT is paid for the received easyrate plate

Upgrade to Premium Annual Plan - costs DKK 1,430 excluding VAT and includes DKK 1,000 in gift cards for easyrate products
If the customer does not wish to continue with any of the above options, the easyrate plate must be returned. The customer pays the return shipping of DKK 49 excluding VAT.
Questions about the Terms and Conditions should be sent to hey@easyrate.dk In providing the Service, the Customer will act as the data controller and easyrate ApS will act as the data processor in accordance with Article 28 of the General Data Protection Regulation (GDPR). A data processing agreement is therefore incorporated into these Terms of Service by reference and both the Customer and easyrate ApS shall comply with the terms of the data processing agreement.
